Terms of Use

These Terms of Use (the “Terms”) govern your access to and use of the GEMI platform and website operated by Base 7 Ltd (“GEMI”, “we”, “us”). By accessing or using GEMI, you agree to these Terms. If you do not agree, do not use the service.

1. Eligibility and accounts

You must be able to form a binding contract and authorized to use GEMI on behalf of your organization. You are responsible for the accuracy of your registration details, for keeping your credentials secure, and for all activity under your account. We may limit each account to one active session at a time.

2. License and acceptable use

We grant you a limited, non-exclusive, non-transferable right to access GEMI for your internal business or professional use, subject to these Terms and our Acceptable Use Policy. You may not resell, sublicense, copy, scrape, reverse engineer, or use the service to build a competing product.

3. Intelligence content and no reliance

GEMI aggregates third-party open-source information and generates automated analysis, including AI-assisted summaries. This content may be incomplete, delayed, or inaccurate and is provided for informational purposes only. It is not professional, legal, financial, security, or investment advice. You are responsible for independently verifying information before relying on it, and you assume all risk of decisions made using the platform.

4. Source material and third-party content

GEMI analyzes public reporting and open-source information. We do not host, mirror, or republish the underlying journalism. For each item we process, GEMI extracts computed facts and metadata, such as events, tone, themes, named entities, locations, and counts, and links back to the original source so it can be read there. What the platform provides is data about the news, not the news content itself, in the same way a search index points to material rather than reproducing it.

Factual information and metadata are not protected by copyright, and GEMI’s analytical layer operates on that basis. Source material, trademarks, and brand names referenced through the platform remain the property of their respective owners. GEMI does not endorse, and is not endorsed by or affiliated with, those owners, and is not responsible for third-party content.

5. Intellectual property

GEMI, its software, design, and original content are owned by Base 7 Ltd and protected by intellectual property laws. These Terms grant you no rights in our trademarks or branding.

6. Service availability and changes

We may modify, suspend, or discontinue features at any time. We aim for high availability but do not guarantee uninterrupted service unless a separate written service-level agreement applies to your organization.

7. Disclaimers

The service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement, to the maximum extent permitted by law.

8. Limitation of liability

To the maximum extent permitted by law, GEMI and Base 7 Ltd will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill arising from your use of the service. Our total liability for any claim relating to the service will not exceed the amount you paid us for the service in the twelve months before the claim.

9. Indemnification

You agree to indemnify and hold harmless GEMI and Base 7 Ltd from claims arising out of your misuse of the service or violation of these Terms.

10. Termination

We may suspend or terminate your access for breach of these Terms or the Acceptable Use Policy. You may stop using the service at any time. Provisions that by their nature should survive termination will survive.

11. Governing law

These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Abu Dhabi, and the courts of Abu Dhabi will have jurisdiction over any dispute, without regard to conflict-of-law principles.

12. Changes to these Terms

We may update these Terms and will revise the “Last updated” date. Continued use after changes take effect constitutes acceptance.
